ALLIES TERMS AND CONDITIONS

All decisions regarding eligibility, points, ranking, and prizes/rewards byLare final and binding.and supportive community for personal growth and social connection. By joining ALLIES, you agree to comply with and be bound by these Terms and Conditions.   

For purposes of these Terms:

• “ALLIES” refers to Invincible ALLIES LLC and its owners, employees, affiliates, and representatives. 
• “ALLIES Website” or "Website" refers to InvincibleAllies.com. 
• “Member” or “User” refers to any individual enrolled in ALLIES. 
• “Services” include the Website, group chat platforms, direct messaging, and all related offerings. 
• “ALLIES Group Chat”, "Discord Group Chat", "Group Chat", and “Direct Messages (DM)” refer to communication mechanisms used by ALLIES members on the Discord app. 
• “Initial Fee” or "Initial Membership Fee" refers to the one-time fee to join or rejoin ALLIES. 
• “Monthly Fee” or "Monthly Membership Fee" refers to recurring monthly membership payments. 
• “Challenges" refers to the contests ALLIES holds, usually monthly, where members can win cash prizes or "Challenge Rewards". “Points” refers to the tracking system utilized to account for winners of challenges, and also for members rank. A member's “Rank" within ALLIES is in direct reference to how may "Points" each member has accumulated since joining ALLIES 

• Members must be at least 21 years old, reside in the United States, and are legally eligible to participate in the United States. 
• No minors are permitted.
• Members must provide accurate, complete, and truthful information.
• Members must not be on any U.S. prohibited persons list or required to register as a sex offender. 
• Members must not have been convicted of serious violent or sexual offenses.
• Members may not maintain multiple accounts. 
• ALLIES does not conduct background checks and makes no guarantees regarding any member. 
• ALLIES reserves the right to accept, reject, suspend, modify, or terminate membership, and ban or temporarily ban members from Discord Group Chat at its sole discretion. 
• ALLIES reserves the right to reject or terminate membership for failure to meet eligibility requirements or providing false information.
• By joining, members acknowledge they have read and accepted these Terms.

• Membership requires payment of an Initial Fee and recurring Monthly Fees. 
• First monthly fee is charged one month from the date new member's initial fee was paid, and recurs monthly going forward until membership is terminated. Monthly fees are automatically billed utilizing the payment method on file for member until membership is terminated.  
• Members can modify their payment method on file with ALLIES by e-mailing Assist@InvincibleAllies.com, requesting to update the payment method, and a link will be sent to the ALLIES Member to enable them to update the payment method.
• All fees are non-refundable unless explicitly stated otherwise. 
• Members must terminate their own membership, if they choose to do so, by contacting ALLIES via email at Assist@InvincibleAllies.com
• Membership remains active through the end of the paid billing period upon cancellation. 
• If ALLIES terminates membership, all fees paid are forfeited. 
• Members are responsible for all third-party costs, including platform fees, mobile charges, travel, and event expenses. 
• ALLIES reserves the right to modify fees at any time with notice. If any member does not agree to pay the new monthly fee amount, it is their responsibility to terminate their own membership prior to the new monthly fee amount being charged, as all fees paid are non-refundable.
• ALLIES reserves the right to modify fees, suspend, or terminate membership at any time.
• Members are responsible for all charges, including chargebacks or payment disputes; ALLIES may revoke membership in such cases.
• Becoming an ALLIES Member does not constitute an employment position with ALLIES. Joining ALLIES as a Member is not employment position with ALLIES.
• If an ALLIES applicant is denied ALLIES membership, their initial fee will be returned to them within 14 days from the day their application is denied.

• By participating, you agree to: 1) Treat other members with respect.  2) Not engage in harassment, discrimination, threats, or harmful behavior.  3) Not post false, misleading, defamatory, or unlawful content 
• Members must act lawfully, respectfully, and without disruption at all times. 
• Harassment, threats, discrimination, bullying, stalking, disruptive or harmful behavior is strictly prohibited. 
• Advertising, solicitation, or promotion of outside services is prohibited unless authorized. 
• Political or religious content is prohibited on ALLIES Group Chat, and is highly discouraged among members as it may cause unnecessary conflicts  
• Members may not misrepresent themselves or misuse ALLIES branding. 
• Members are solely responsible for their actions, communications, content, and behavior on or outside platforms ALLIES utilizes, including texting, social media, and/or in-person meetings/events. ALLIES is not responsible for any interactions between members on or outside platforms ALLIES utilizes, including texting, social media, and/or in-person meetings/events.
• ALLIES does not control or guarantee the behavior of any member.
• Members may not engage in illegal behavior, hacking, phishing, spamming, or unauthorized access to any platform. 
• ALLIES reserves the right to remove content, suspend, or terminate membership, or ban or temporarily remove members from Discord Group Chat at its discretion, with or without notice. 
• All posts, information, and communications shared from a member to another member or members via ALLIES Group Chat, DM, or otherwise, is prohibited from being shared with non-ALLIES members, unless express permission is given by the ALLIES member who shared the information that it is permissible for it to be shared.  All personal information a member shares directly with another member is prohibited from being shared on ALLIES Group Chat and DM, outside of ALLIES Group Chat, or with other members as well as non-members, unless express permission is given by the ALLIES member who shared the information that it is permissible for it to be shared.
• All content posted to ALLIES Group Chat or shared via DM by ALLIES, is not to be shared with non-ALLIES Members, or reposted on other social media forums without the express written permission of ALLIES.
• Any information shared by members on ALLIES Group Chat is permissible for ALLIES to utilize and share with all members, without member's having any rights or claims to the original informational content submitted to ALLIES Group Chat, and ALLIES is free from any claims or litigation that may result from use of that information.
• Members may network and utilize other members as references when seeking employment, but members agree to network, and utilize other members as references at their own risk. If a member utilizes another member or members as references, they should verify with the Member(s) that it’s acceptable to utilize them as a reference prior to utilizing them as a reference. ALLIES does not endorse, recommend, or refer any members for employment with any outside employers.

• Participation in member-driven events is voluntary, including virtual and in-person gatherings.
• ALLIES does not organize, control, supervise, or guarantee the safety of any venue or event.  ALLIES is not responsible for the safety, actions, or conditions of any venue where events take place. 
• Members are responsible for all costs, including travel, food, beverages, and entry fees to any event they attend. 
• ALLIES is not responsible for injuries, damages, losses, disputes or misconduct occurring at events or venues.
• ALLIES members agree to adhere to the rules and regulations that are in place for the events or venues they attend.
• ALLIES does not provide transportation, supervision, or security. 
• Members assume all risks, including those involving alcohol consumption and interactions with others. ALLIES does not provide alcohol or supervision.
• ALLIES is not responsible for any off-site or post/pre-event activities undertaken by members.
• Members acknowledge that participation in events, contests, and challenges is voluntary, and ALLIES makes no guarantees regarding outcomes or prizes.
• ALLIES does not guarantee there will be any certain number of ALLIES members at any given time, and does not guarantee any certain amount of ALLIES members that will attend any member driven in-person event.
• Any member who invites, sponsors, or brings a guest to a member-driven event assumes full responsibility and liability for the conduct, safety, and actions of their guest(s). ALLIES, its organizers, and affiliates shall not be held liable for any injury, loss, damage, or misconduct arising from or related to any guest invited by a member. 
• All members, including those attending at the invitation or coordination of another member, assume full legal and financial responsibility for their own conduct and participation. Members agree that invitations between members do not create liability for ALLIES, and each member agrees to indemnify and hold harmless ALLIES, its officers, organizers, and affiliates from any claims, damages, or losses arising out of or related to their attendance or actions. Members attend the events at their own risk. Members who invite other members to in-person events via Group Chat or otherwise, must be ok with non-ALLIES members attending the events, and the events must be located at safe environments for members, and their guests to attend.   

• ALLIES uses Discord and other platforms for group chats and community engagement.
• ALLIES does not verify user identities or monitor private communications. 
• Members are solely responsible for their interactions on these platforms.
• ALLIES does not monitor or control private messages and is not liable for disputes, harassment, scams, phishing, or damages arising from online interactions.
• ALLIES is not responsible for any technical issues, outages, or data breaches on third-party platforms used for the community.
• ALLIES reserves the right to temporarily or permanently restrict access to Discord or other online platforms for members who violate these Terms, engage in misconduct, or disrupt the community.
• ALLIES is not liable for disputes, harassment, scams, or damages arising from online or off-platform interactions. 
• Use of all platforms is at the member’s own risk. 
• ALLIES Members agree they will comply with Discord's Terms and Conditions, in addition to ALLIES Terms and Conditions, and if they violate Discord's Terms and Conditions, and their membership from that platform is terminated, they may be terminated from ALLIES as well.
• Members agree that it is permissible for ALLIES to share their Discord username, their points information, the winners of challenges, and other clarified information with all members.
• Advertising of any kind is prohibited on ALLIES Group Chat and DM by members.

• Participation is voluntary. 
• Any contests, challenges, or reward systems offered by ALLIES are skill-based and/or participation-based, and governed by defined rules and criteria.  
• ALLIES determines all rules, winners, and outcomes. 
• All decisions regarding eligibility, points, ranking, and prizes/rewards by ALare final and binding.
• Members must comply with applicable laws, including FTC disclosure requirements. 
• Members may not make misleading income claims. 
• Referral and prize payouts are subject to maximum limits determined by the IRS, which may require ALLIES to issue tax forms.
• Members acknowledge that all cash or rewards received from ALLIES may be taxable, and members are solely responsible for reporting and paying all applicable taxes, including any penalties or interest assessed by tax authorities.
• ALLIES is not a tax advisor and provides no tax advice.
• ALLIES makes no guarantees of financial gain or results.
• Members may receive referral incentives. By participating in any referral or promotional activity, you agree:  1) To clearly disclose that you receive compensation for referrals.  2) Not to make income claims or suggest that participation will result in financial gain.  3) Not to make misleading, exaggerated, or false statements about ALLIES. 4) Not to claim to be employed by ALLIES.  5) You are solely responsible for any content you create or share.
• Rewards, rankings, and systems may be modified or discontinued at any time. 
• ALLIES members have different ranks within ALLIES, depending on how many points they have acquired since joining ALLIES. The rank of each member determines the amount of cash referral/challenge rewards the member earns for referring new ALLIES members, as well as the payout amount they receive if they win a challenge. The amounts to be paid per members rank are subject to change by ALLIES, as well as the ranking system in general, and members will be notified if there are changes to the amounts paid out, and/or to the ranking system.
• Referral cash rewards earned by members (amount depending on member's rank) will be credited to the referring member via Zelle or check, after the newly referred member pay’s their initial fee, and is accepted for membership. 
• Challenge cash rewards (amount depending on member's rank) are paid via Zelle or check to the ALLIES members that win the respective challenge after they are announced as the winners of the respective challenge.
• The amount of points earned for qualifying activities are subject to change by ALLIES. Qualifying activities that members can utilize to earn points towards winning challenges are also subject to change by ALLIES.  Any change to the points system, or qualifying activities to earn points by members, will be disclosed to members.
• Participation in the ALLIES referral program is voluntary. Members who successfully refer new members may receive a referral payment. These payments are rewards for referrals, and do not create an employment, contractor, or agency relationship between the member and ALLIES. The amounts of referral payments members are to receive are listed specifically on the points spreadsheet sent to members when the month’s challenge cash rewards and points totals are announced, and the amount depends on the referring member’s rank. Members are solely responsible for reporting and paying any applicable taxes on referral and challenge reward payments. ALLIES does not supervise or control how referrals are made and members may participate at their own discretion. 
• Participation in the ALLIES monthly challenge is voluntary. The three members who earn the highest points for the month based on skill- and participation-based activities may be eligible to receive the designated prize. The amounts of cash prizes the winning members are to receive are listed specifically on the points spreadsheet sent to members when the month’s challenge cash rewards and points totals are announced, and the amount depends on the winning member’s rank. Winning a prize does not create an employment, contractor, or agency relationship between the member and ALLIES. Members are responsible for reporting and paying any applicable taxes on prize amounts. ALLIES reserves the right to interpret the contest rules and resolve any disputes regarding points or prizes in good faith. If there is a tie, then the member who has the highest rank will be declared the winner. ALLIES is the sole decider on the winners of challenges, and those decisions are final.  If a member does not want to participate in challenges, they must e-mail ALLIES to coordinate the removal of themselves from challenges, which will also remove the member from points tracking and partnering with other members, which occurs bi-weekly. If members do not want to be partnered with other members they must coordinate this with ALLIES by e-mailing ALLIES.  If a member does not want to be partnered with other members, they will also be removed from points tracking, as well as challenges.  Same applies for members who do not want their points tracked; they will not be partnered with other members, and will not be able to participate in challenges. 
• Participation in ALLIES games, which are contests between members that usually occur via ALLIES Group Chat weekly or bi-weekly, are voluntary. Each game’s rules including how the winners are decided are sent via Group Chat at the time of or before the Game is to be played. Points towards winning challenges that will be awarded to winners and participants who successfully complete the game, are also noted. Winning an ALLIES game does not create an employment, contractor, or agency relationship between the member and ALLIES. ALLIES reserves the right to interpret the contest rules and resolve any disputes regarding points in good faith. If there is a tie, then the member who has the highest rank will be declared the winner. ALLIES is the sole decider of the winners of challenges, and those decisions are final. 
• Membership does not guarantee outcomes, connections, opportunities, or results.  Challenge and referral rewards are subject to official rules, eligibility, requirements, and applicable limits.  See the Official Challenge, Game & Reward Rules, and Referral Program & Disclosure Rules for further information

• Members are solely responsible for content they post, share, or submit.
• By submitting content, members grant ALLIES a non-exclusive, royalty-free license to use, display, and distribute the content.
• Members consent to ALLIES using event photos or videos for promotional purposes      without compensation.
• Content must not include sensitive personal information or violate any laws. 
• ALLIES may monitor, edit, or remove content at its discretion. 
• Members post content at their own risk. 
• Members may not misrepresent themselves or impersonate others online.

• ALLIES collects personal information for operational purposes including membership management, communications, and payments. ALLIES stores this information securely and will not share it with third parties without your consent.
• ALLIES does not sell personal data. 
• ALLIES implements reasonable security measures but cannot guarantee absolute security. 
• Your data (posts, messages, and submissions) may be stored on third-party platforms (Discord, Stripe, and Jotforms), and may be subject to their security policies. While ALLIES takes reasonable precautions, ALLIES is not liable for third-party breaches, unauthorized access, or misuse of member data. ALLIES is not responsible for third-party platforms, apps, or venues used in connection with ALLIES
• Use of personal data is governed by ALLIES Privacy Policy. By joining ALLIES, you agree to ALLIES Privacy Policy, which explains how we collect and use your information. The ALLIES Privacy Policy can be found by clicking here.

• ALLIES owns all trademarks, logos, content, branding, and materials. 
• Members are granted a limited, non-transferable license for personal use only. 
• No copying, reproduction, redistribution, derivative works, or sharing of ALLIES materials is permitted without written consent. 

• Participation in member-driven events, contests, and activities involves inherent risks.
• Members assume all risks, including physical injury, emotional distress, and interactions with others. Members assume all responsibility for personal safety, health, and well-being.
• ALLIES is not liable for injuries, illnesses, or accidents, including those related to alcohol, physical activities, environmental conditions, or self-directed activities.
• Members acknowledge the inherent risk of participating in contests, challenges, or games.

• ALLIES provides a social and motivational environment only. ALLIES does not provide medical, psychological, financial, legal, or professional advice of any kind. If any ALLIES member needs medical or psychological assistance, they are encouraged to seek a medical professional. 
• Any advice, guidance, or suggestions provided by ALLIES or members are for informational purposes only.  Any discussions related to personal goals, habits, or activities are for general informational and entertainment purposes only.
• While ALLIES strives to make the information on the ALLIES Website, within ALLIES Group Chat, DM, and e-mails from ALLIES as timely and accurate as possible, ALLIES makes no claims, promises, or guarantees about the accuracy, completeness, or adequacy of the contents within the ALLIES Website, within ALLIES Group Chat, DM, and e-mails from ALLIES, and expressly disclaims liability for errors and omissions in the contents within the ALLIES Website, within ALLIES Group Chat, DM, and e-mails from ALLIES.
• Members are solely responsible for their decisions and outcomes. ALLIES is not responsible for any outcomes including but not limited to outcomes related to personal goals, financial decisions, or other actions based on advice or guidance. ALLIES makes no guarantees regarding success, results, outcomes, or benefits from participation.
• ALLIES does not advise ALLIES members on what personal goals they should have, or personal choices ALLIES members should make, and ALLIES is not responsible or liable for ALLIES members achieving their own personal goals. ALLIES members are responsible and liable for deciding their own personal goals, for their own personal choices, and putting their own effort into achieving their own personal goals.
• Advice or assistance provided by other members is solely the responsibility of the member providing it.
• Participation in ALLIES goal-setting and partner activities is optional and voluntary. Members may collaborate with each other regarding personal goals, but this does not constitute an employment position with ALLIES.

• Members are responsible for maintaining account security and protecting account credentials.
• ALLIES is not liable for unauthorized access, account compromise, or misuse of      member accounts.
• ALLIES is not responsible for downtime, technical errors, or bugs on platforms or services.

• All interactions between members occur at their own risk. 
• ALLIES is not responsible for disputes, harassment, damages including but not limited to mental, emotional or property damage, or misconduct between members arising from member-to-member interactions on any platform or in-person. 

• Members agree to indemnify, defend, and hold ALLIES harmless from claims, damages, or expenses arising from their actions, content, or violations of these Terms.

• ALLIES total liability is limited to membership fees paid in the previous 12 months. 
• To the maximum extent permitted by law, ALLIES shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of income, personal injury, emotional distress, or damages resulting from interactions with other members.
• ALLIES is not responsible or liable for any member content downloaded to ALLIES Group Chat. ALLIES members access and download content from other ALLIES members at their own risk.
• ALLIES is not responsible, or liable for any damages or consequences resulting from members who fail to adhere to these Terms and Conditions.

• Members may terminate their membership at any time by e-mailing ALLIES at Assist@InvincibleAllies.com. Since monthly fees are paid for the ALLIES member’s upcoming month of membership, when an ALLIES member terminates, membership lasts through the end of the month they paid for. 
• ALLIES may suspend or terminate membership at its discretion, especially for violations of Terms, misconduct, or activities harmful to the community. When ALLIES terminates membership, member's membership terminates the day of termination, and all fees paid by the former ALLIES member will be forfeited.
• Termination does not relieve members from obligations incurred prior to termination.
• If membership is voluntarily terminated, but that former ALLIES member rejoins ALLIES at a later date, their ranking begins again one rank below from where their rank was when their membership was last terminated, or it begins again at the lowest rank if they left ALLIES when their highest rank achieved was the lowest or second lowest ranks. 
• Violations may result in temporary or permanent bans. 
• Terminated members may or may not be allowed to rejoin ALLIES at a later date, but it's at ALLIES discretion. If a terminated member is allowed to rejoin, they will still need to pay the current initial fee, and subsequent monthly fees.

• ALLIES is not liable for delays, cancellations, or disruptions due to circumstances beyond its reasonable control, including natural disasters, pandemics, or acts of third parties.

• Nothing in these Terms creates a partnership, joint venture, employer-employee, or agency relationship between ALLIES and it's members.

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

• Members must first submit disputes to ALLIES via email. Any complaints, questions, or concerns about ALLIES or ALLIES members from ALLIES members should be e-mailed to Assist@InvincibleAllies.com.
• Disputes must be resolved exclusively through binding arbitration via the American      Arbitration Association.
• Members waive the right to jury trials and class actions. 
• California law governs these Terms and all disputes. 

• To the fullest extent permitted by law, you release, waive, and discharge ALLIES, its owners, members, managers, and affiliates from any and all claims, liabilities, damages, or causes of action arising out of or related to: 1) Participation in any event or activity.  2) Interactions with other members.  3) Use of the platform, website, or communication channels including but not limited to the Discord App.

• By joining and participating in this club (ALLIES), you acknowledge and agree that all activities, including but not limited to in-person meetups, online interactions, and group activities, are voluntary and undertaken at your own risk. ALLIES does not organize, host, supervise, or control any physical locations, venues, or third-party activities. You understand that participation in social events, including those held at bars, recreational venues, or public/private locations, may involve risks including but not limited to personal injury, property damage, or other harm. You assume all such risks.

• Members may not misuse ALLIES branding, logos, or identity. 
• Members may not create groups or communities using the ALLIES name. 
• Unauthorized use may result in legal action.

• Services are provided “as is” and “as available.” 
• ALLIES does not guarantee uptime, safety, or outcomes. Membership does not guarantee connections or outcomes.
• ALLIES is a for-profit social club and not an employer or fraternity organization. 
• All information contained on the ALLIES website is considered to be binding as an extension of these ALLIES Terms and Conditions, and the policies unto how ALLIES operates. By agreeing to these Terms and Conditions, you are also agreeing to the acceptance of the information and policies contained within the ALLIES website. If you find any information contained within the ALLIES website, and/or these Terms and Conditions to be unacceptable, it is your responsibility to terminate your own ALLIES membership.
• The ALLIES webpage found on the ALLIES website is available exclusively to ALLIES members only.  Non-ALLIES members are not allowed to view/access the ALLIES webpage.  ALLIES members are prohibited from sharing details found within the ALLIES webpage with non-ALLIES members in any communication format.
• All content contained within ALLIES website and ALLIES Group Chat may be subject to copyright, and may not be reproduced in any form without express written consent of ALLIES.  ALLIES takes copyright infringement seriously.  Please report any evidence of anyone duplicating materials found on the ALLIES website and/or ALLIES Group Chat by e-mailing Assist@InvincibleAllies.com.
• ALLIES is not liable for the actions of subcontractors working for ALLIES. Subcontractors are fully responsible and liable for their own actions, and consequences of those actions.
• Members who terminate voluntarily, agree that it’s permissible for ALLIES to e-mail/mail them ALLIES advertisements occasionally, and “Happy Birthday” greetings, unless the former ALLIES member notifies ALLIES by e-mailing Assist@InvincibleAllies.com that they disapprove of having ALLIES advertisements, and/or “Happy Birthday” greetings sent to them, in which case no further ALLIES advertisements, and/or “Happy Birthday” greetings will be sent to the former ALLIES member. 
• "ALLIES Pins", which are mailed to new members who are accepted for membership is a physical pin designed to be worn on member's clothing, and is given in place of an ALLIES membership card so the ALLIES Pin represents the member's membership with ALLIES, and is not to be given or transferred to any other member or non-member.

• By signing up for ALLIES, you are agreeing to adhere to these Terms and Conditions, and also are confirming that you are legally qualified to enter into a contract with ALLIES 
• By signing up for ALLIES you warrant that:
  1. You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country;
  2. You are not on any list of individuals prohibited from conducting business with the United States
  3. You are not prohibited by law from being an ALLIES member
  4. You have not committed, been convicted of, or pled no contest to a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence or a threat of violence, unless you have received clemency for a non-violent crime, and we have determined that you are not likely to pose a threat to other ALLIES members
  5. You are not required to register as a sex offender with any state, federal or local sex offender registry;
  6. You do not have more than one ALLIES member account
  7. You have not previously been removed from being an ALLIES member by ALLIES, unless you have ALLIES express written permission to create a new ALLIES member account
  8. You will comply with all applicable laws, including without limitation, privacy laws, intellectual property laws, anti-spam laws, and regulatory requirements
  9. You will use the latest version of ALLIES Group Chat app
  10. You will review and comply with ALLIES Terms and Conditions as updated from time to time
  • If at any time you cease to meet these requirements, your ALLIES membership will be automatically terminated, and ALLIES retains the right to remove your access to our Services without warning
• By signing up for ALLIES, you agree that you will not:
  1. Misrepresent your identity, age, US citizenship/residence status, or affiliations with a person or entity
  2. Use ALLIES in a way that damages ALLIES, or prevent others from utilizing ALLIES
  3. Use ALLIES in a way that interferes with, disrupts or negatively affects ALLIES platforms
  4. Use ALLIES for any harmful, illegal, or nefarious purpose, including, but not limited to, purposes of money laundering, or other financial crimes
  5. Harass, bully, stalk, intimidate, assault, defame, harm or otherwise abuse or cause psychological harm to any ALLIES member 
  6. Post, or share Prohibited Content (See below)
  7. Solicit passwords for any purpose, or personal identifying information for commercial or unlawful purposes from other ALLIES members, or disseminate another person's personal information without his or her permission
  8. Solicit money or other items of value from another ALLIES member, whether as a gift, loan, or form of compensation;
  9. Use another ALLIES member’s Group Chat account
  10. Use ALLIES in relation to fraud, a pyramid scheme, or other similar practice
  11. Use ALLIES in relation to any political campaign financing, or for the purpose of influencing any election
  12. Disclose private or proprietary information that you do not have the right to disclose, which includes, but not limited to all content on ALLIES Group Chat supplied by ALLIES or ALLIES members, unless permission is given by ALLIES or ALLIES members respectively
  13. Copy, modify, transmit, distribute, or create any derivative works from, any ALLIES member’s content or ALLIES content, or any copyrighted material, images, trademarks, trade names, service marks, or other intellectual property, content or proprietary information accessible through ALLIES without ALLIES prior written consent
  14. Express or imply that any statements you make are endorsed by ALLIES
  15. Use any robot, crawler, site search/retrieval application, proxy or other manual or automatic device, method or process to access, retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of ALLIES Services or its contents
  16. Upload viruses or other malicious code or otherwise compromise the security of ALLIES website and/or ALLIES Group Chat
  17. Forge headers or otherwise manipulate identifiers to disguise the origin of any information transmitted to or through ALLIES website and/or ALLIES Group Chat
  18. "Frame" or "mirror" any part of ALLIES Services without ALLIES prior written authorization
  19. Use meta tags or code or other devices containing any reference to ALLIES, or the platform’s ALLIES uses (or any trademark, trade name, service mark, logo or slogan of ALLIES) to direct any person to any other website for any purpose
  20. Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of ALLIES Services, or cause others to do so
  21. Use or develop any third-party applications that interact with ALLIES Services or ALLIES member content or information without ALLIES written consent, including but not limited to artificial intelligence or machine learning systems
  22. Use, access, or publish ALLIES website and/or ALLIES Group Chat programming interface without ALLIES written consent
  23. Probe, scan or test the vulnerability of ALLIES website, or ALLIES Group Chat
  24. Encourage, promote, or agree to engage in any activity that violates these Terms and Conditions 
  25. Create or sign up for a new account after ALLIES suspends or terminates your membership, unless you receive ALLIES express permission
  • The membership granted to you under these Terms and Conditions, and any authorization to access ALLIES Group Chat, ALLIES website, and ALLIES Services is automatically revoked in the event that you do any of the above

• Prohibited Content - ALLIES prohibits uploading to ALLIES Group Chat (Discord), or sharing content with other ALLIES members that:
  1. Could reasonably be deemed to be illegal, offensive or to harass, abuse or cause psychological distress to another person
  2. Is obscene, pornographic, violent, or contains nudity
  3. Is abusive, threatening, discriminatory, or that promotes or encourages racism, sexism, hatred or bigotry
  4. Misleading, fraudulent, or deceptive 
  5. In violation of intellectual property rights
  6. Is sensitive personal information that includes but is not limited to SSN, bank information, passwords, etc.
  7. Encourages or facilitates any illegal activity including, without limitation, terrorism, inciting racial hatred, or the submission of which in itself constitutes committing a criminal offense
  8. Is political or religious in nature, as these topics have the potential of dividing members
  9. Encourages, or facilitates any activity that may result in harm to the user or another person, including, but not limited to, promotion of self-harm, eating disorders, dangerous challenges, violent extremism
  10. Is defamatory, libelous, or untrue
  11. Relates to commercial activities (including, without limitation, sales, competitions, promotions, and advertising, solicitation for services, sex work, "sugar daddy" or "sugar baby" relationships, links to other websites or premium line telephone numbers)
  12. Involves or facilitates the transmission of spam
  13. Contains any spyware, adware, viruses, corrupt files, worm programs or other malicious code designed to interrupt, damage or limit the functionality of or disrupt any software, hardware, telecommunications, networks, servers or other equipment, Trojan horse or any other material designed to damage, interfere with, wrongly intercept or expropriate any data or personal information whether from ALLIES, or otherwise
  14. Infringes upon any third party's rights (including, without limitation, intellectual property rights and privacy rights)
  15. Was not written by you, unless expressly authorized by ALLIES
  16. Includes the image or likeness of another person without that person's consent (or in the case of a minor, the minor's parent or guardian)
  17. Includes an image or likeness of a minor who is unaccompanied by the minor's parent or guardian or not fully clothed or otherwise depicts or implies a minor engaged in sexual activity
  18. Is inconsistent with the intended use of ALLIES Services; or may harm the reputation of ALLIES or its affiliates, meaning the uploading or sharing of content on the platform(s) ALLIES uses that is defamatory to ALLIES or its affiliates, or advocates misuse of ALLIES Service or any service provided by ALLIES affiliates
  • The uploading or sharing of content that violates these Terms and Conditions ("Prohibited Content") may result in the immediate suspension or termination of your ALLIES membership
  • We encourage all ALLIES members to report any prohibited or harmful content to ALLIES by e-mailing Assist@InvincibleAllies.com
• It is important that you understand your rights and responsibilities with regard to the content on ALLIES Group Chat, including any content you provide or post. You are expressly prohibited from posting inappropriate content
• While using ALLIES Group Chat, you will have access to: (i) content that you upload or provide while using our Services, even if suggested by our Services ("Your Content"); (ii) content that other users upload or provide while using our Services ("Member Content"); and (iii) content that ALLIES provides on and through our Services ("Our Content"). In this agreement, "content" includes, without limitation, all text, images, video, audio, or other material on our Services, including information included in Direct Messages between ALLIES members
•  Violations may result in immediate termination

• You are responsible for Your Content. Don't share anything that you wouldn't want others to see, that would violate these Terms and Conditions, or that may expose you or us to legal liability
• You are solely responsible and liable for Your Content, and, therefore, you agree to indemnify, defend, release, and hold us harmless from any claims made in connection with Your Content.  You represent and warrant to us that the information you provide to us, or any other user is accurate, and that you will update ALLIES as necessary to ensure its accuracy
• The content uploaded to ALLIES Group Chat should be relevant to the intended use of our Services. You may not upload any Prohibited Content.  You may not display any personal contact, banking information, or peer-to-peer payment information, whether in relation to you or any other person (for example, names, home addresses or postcodes, telephone numbers, email addresses, URLs, credit/debit card, peer-to-peer payment user name, or other banking details). If you choose to reveal any personal information about yourself to other users, you do so at your own risk. We strongly encourage you to use caution in disclosing any personal information online
• Your individual profile, and what you post to ALLIES Group Chat will be visible to other people around the world, so be sure that you are comfortable sharing Your Content before you post. You acknowledge and agree that Your Content may be viewed by other users, and, notwithstanding these Terms and Conditions, other users may share Your Content with third parties
• By uploading Your Content, you represent and warrant to us that you have all necessary rights and licenses to do so and automatically grant us a license to use Your Content within the contexts of ALLIES for ALLIES purposes.  ALLIES may improve it’s Services based on the content you provide
• You understand and agree that we may monitor or review Your Content, and we have the right to remove, delete, edit, limit, or block or prevent access to any of Your Content at any time at ALLIES sole discretion. Furthermore, you understand and agree that we have no obligation to display or review Your Content

• While you will have access to Member Content, it is not yours and you may not copy or use Member Content for any purpose except as contemplated by these Terms and Conditions
• Other ALLIES Members will also share content on ALLIES Group Chat, and via Direct Messaging.  Member Content belongs to the user who posted the content and is stored on ALLIES Group Chat, and Direct Messaging platforms ALLIES utilizes
• You should always carefully review, and independently verify Member Content for accuracy. Other users may use tools to generate or enhance content based on the Member Content they provide.  Member Content may include biased, incorrect, harmful, offensive, or misleading information.  Other ALLIES members are responsible for their Member Content, as well as any and all decisions made, actions taken, and failures to take action based on their use of Member Content
• You do not have any rights in relation to Member Content, and, unless expressly authorized by ALLIES, you may only use Member Content to the extent that your use is consistent with ALLIES Services purpose of allowing us to communicate with, and meet one another. You may not copy the Member Content or use Member Content for commercial purposes, to spam, to harass, or to make unlawful threats. We reserve the right to terminate your membership if you misuse Member Content

• ALLIES owns, or licenses all other content on our Services
• Any other text, content, graphics, user interfaces, trademarks, logos, sounds, artwork, images, and other intellectual property appearing on our Services is owned, controlled or licensed by ALLIES and protected by copyright, trademark and other intellectual property law rights. All rights, title, and interest in and to Our Content remains with us at all times
• We grant you a limited license to access and use of Our Content, and we reserve all other rights
